1. Welcome

Welcome to VirValix.

These Terms and Conditions govern your access to and use of the VirValix website, mobile applications, AI services, and marketplace (“Platform”).

By using VirValix, you agree to these Terms. If you do not agree, please do not use the Platform.

2. About VirValix

VirValix is an AI-powered marketplace and business operating system that connects customers with independent service providers.

VirValix also provides AI tools that assist businesses with:

  • Customer enquiries
  • Booking management
  • Job scheduling
  • Dispatch
  • CRM
  • Invoicing
  • Estimates
  • Business automation
  • AI assistance
  • Reporting

VirValix is not the provider of the services advertised on the Platform unless expressly stated.

3. Eligibility

You must be at least 18 years old to create an account.

Businesses must provide accurate information when registering.

VirValix may refuse, suspend or terminate accounts at its sole discretion where these Terms are breached.

4. Customer Accounts

Customers agree to:

  • Provide accurate information
  • Keep passwords secure
  • Use the Platform lawfully
  • Not impersonate another person
  • Not misuse the AI assistant

Customers remain responsible for activity occurring under their account.

5. Business Accounts

Businesses agree that they:

  • Hold all licences required by law
  • Maintain all required insurance
  • Provide accurate business information
  • Maintain professional standards
  • Deliver services honestly
  • Comply with Australian Consumer Law

VirValix may suspend or remove businesses that fail to meet platform standards.

6. AI Assistant

VirValix AI provides recommendations, estimates and automation.

Although every effort is made to provide accurate information:

  • AI responses may not always be correct.
  • AI should not be relied upon as legal, financial or professional advice.
  • Users should verify important decisions independently.

VirValix accepts no responsibility for decisions made solely from AI responses.

7. Marketplace Listings

Businesses are responsible for:

  • Listing accuracy
  • Prices
  • Availability
  • Images
  • Descriptions
  • Service quality

VirValix may edit, suspend or remove listings that breach platform policies.

8. Quotes & Estimates

Quotes generated through the Platform may be:

  • AI-generated
  • Business-generated
  • Estimated pricing

Final pricing may change after inspection unless otherwise agreed.

9. Bookings

Bookings made through VirValix create an agreement between the customer and the selected business.

VirValix facilitates bookings but is generally not a party to the service contract.

Cancellation policies are determined by the individual business unless otherwise stated.

10. Payments

Payments may be processed through approved third-party payment providers.

VirValix does not store full payment card details.

Fees and charges will be displayed before payment is completed.

11. Reviews

Customers may leave honest reviews based on genuine experiences.

VirValix may remove reviews that are:

  • False
  • Offensive
  • Abusive
  • Fraudulent
  • Misleading
  • Spam

Businesses must not manipulate reviews.

12. Prohibited Conduct

Users must not:

  • Upload illegal material
  • Harass other users
  • Attempt to hack the Platform
  • Use automated bots without permission
  • Upload malicious software
  • Circumvent security systems
  • Copy platform content without permission

13. Intellectual Property

All software, branding, AI systems, graphics, logos and content remain the property of VirValix unless otherwise stated.

Users may not copy, reproduce or redistribute Platform content without written permission.

14. Privacy

Your use of VirValix is also governed by our Privacy Policy.

By using the Platform, you consent to the collection and use of personal information as described in that Policy.

15. Limitation of Liability

To the maximum extent permitted by Australian law, VirValix is not liable for:

  • Loss of profits
  • Indirect losses
  • Business interruption
  • Loss of data
  • Consequential damages

Nothing in these Terms excludes rights that cannot legally be excluded under Australian Consumer Law.

16. Indemnity

You agree to indemnify VirValix against claims, losses or expenses arising from:

  • Your misuse of the Platform
  • Breach of these Terms
  • Unlawful conduct
  • Infringement of another person's rights

17. Suspension & Termination

VirValix may suspend or terminate accounts where users:

  • Breach these Terms
  • Engage in fraudulent conduct
  • Abuse other users
  • Damage the Platform
  • Pose a security risk

18. Changes to the Platform

VirValix may update, improve, suspend or discontinue features at any time.

We may also update these Terms from time to time.

Continued use of the Platform constitutes acceptance of any updated Terms.

19. Governing Law

These Terms are governed by the laws of Western Australia and the Commonwealth of Australia.

Any disputes will be subject to the jurisdiction of Australian courts.

20. Exclusive Service Territories

This section applies to approved service providers (businesses) and forms part of the Business Account terms in clause 5. It does not limit any other clause of these Terms.

20.1 Territory allocation

VirValix may allocate an approved service provider an exclusive geographic service territory for one or more specified service categories.

Territory boundaries may be based on suburbs, postcodes, geographic boundaries, service areas or another geographic method determined by VirValix.

Territory size may differ between providers and service categories.

In determining territory size, VirValix may consider factors including:

  • Estimated customer demand
  • Population and household data where available
  • Provider capacity
  • Number of technicians
  • Operating hours
  • Expected service frequency
  • Travel requirements
  • Historical platform activity
  • Other relevant operational information

20.2 Exclusivity is service-category specific

Exclusivity applies only to the service category or categories expressly allocated to the provider.

VirValix may appoint businesses providing different services within the same geographic territory.

For example, an exclusive carpet-cleaning provider does not prevent VirValix from appointing an electrician, plumber, cleaner, gardener or other service provider within the same geographic area.

20.3 No guarantee of customers, leads, work or income

Allocation of an exclusive territory does not constitute a guarantee of any minimum number of customers, enquiries, leads, bookings, jobs, revenue, profit or income.

Any demand, household, job-volume, revenue or market estimates supplied by VirValix are estimates only unless expressly identified as measured historical data.

Actual demand and business results may differ from estimates.

20.4 Territory capacity and viability

VirValix may use its Territory & Capacity Engine and other information to assess whether a proposed territory appears reasonably capable of supporting a provider and whether the provider appears capable of servicing that territory.

These assessments are decision-support tools and do not constitute financial, business or earnings guarantees.

Final territory allocation remains subject to VirValix approval.

20.5 Territory expansion

A provider does not automatically obtain rights to neighbouring suburbs, postcodes or territories.

Providers may request expansion.

Before approving or declining an expansion, VirValix may consider:

  • Customer demand
  • Existing territory commitments
  • Provider capacity
  • Service quality
  • Availability
  • Response performance
  • Other relevant factors

Subscription level alone does not give a provider a right to additional exclusive territory.

20.6 Territory monitoring and review

VirValix may periodically review territories to ensure customers are being adequately serviced and the network remains commercially and operationally sustainable.

Factors considered may include:

  • Demand and provider capacity
  • Availability and response times
  • Rejected or unfulfilled enquiries
  • Cancellations
  • Complaints and customer ratings
  • Service standards
  • Material changes in market conditions

A poor result from a single customer interaction or isolated incident should not by itself result in loss of an exclusive territory.

20.7 Overflow and temporary coverage

Where an exclusive provider is unavailable, at capacity, temporarily unable to service a customer, or where reasonable customer-service requirements cannot otherwise be met, VirValix may arrange temporary or overflow service through another approved provider.

Temporary or overflow servicing does not automatically transfer ownership or exclusivity of the original territory.

20.8 Suspension, modification or termination of exclusivity

VirValix may suspend, modify, reduce, expand or terminate an exclusive territory where reasonably necessary, including because of:

  • Persistent inability to service demand
  • Serious or repeated service-standard failures
  • Loss of required licences or insurance
  • Material breach of the VirValix agreement
  • Business closure or prolonged inactivity
  • Fraud or safety concerns
  • Other material circumstances affecting the provider's ability to service the territory

Except where immediate action is reasonably required for safety, legal, regulatory, fraud or serious customer-protection reasons, VirValix should provide reasonable notice and an opportunity for the provider to respond before materially reducing or terminating an exclusive territory.

20.9 No ownership of territory

An exclusive territory is a contractual service right within the VirValix platform and does not give the provider ownership or proprietary rights over any suburb, postcode, geographic area, customer or future customer.

A territory cannot be sold, transferred, sublicensed or assigned without VirValix's prior written approval.

20.10 Fair administration

VirValix will endeavour to administer exclusive territories consistently and reasonably while balancing provider sustainability, customer service, network coverage and platform integrity.

Territory recommendations generated by automated systems are advisory and remain subject to administrative review where required.

Providers are asked to acknowledge this section before accepting an exclusive territory. VirValix records the version of these Terms, the date and time of acceptance, and the provider account that accepted them.
